  We prepare all documents and file formations for a variety of business types in California and Delaware, including Corporations, Limited Liability Companies, Series Limited Liability Companies, Not-for-profit corporations, and partnerships.  We act as our client’s agent for service of process for a fee of $50.00 per year, and if we form the entity we will provide this service for no charge for the first year.
  
  We prepare annual corporate and other regulatory compliance for all types of businesses.  This includes monitoring and tracking of filing due dates, entity status and issues related to corporate formalities. 

• Business Transactions and Contracts
  We customize agreements to fit the client need, including shareholder agreements, buy-sell agreements, licensing agreements, distribution agreements, joint venture and other various business agreements. We provide legal assistance with restructuring, reorganizing and dissolution of business entities.
  
  We provide assistance with contract drafting and negotiations for business contracts, service contracts and leases.

• Buying And Selling of Businesses
  We provide legal advice and negotiations for the sale and purchase of assets, stocks and stock sales. We prepare all documents related to each transaction.

• Debt Restructuring
  We assist our clients during difficult financial times with business advice. We facilitate the restructuring of debt.  We have experience with SBA and government loan programs.

• Employment Law
  We draft employee handbooks and advise clients on human resource policies and procedures including overtime issues, medical leaves of absence, the Family and Medical Leave Act and discrimination and wrongful termination actions. We negotiate and draft employment agreements, independent contractor agreements, termination agreements and compensation packages. 

• Government Filings
  We provide required periodic filings for our client that are required at the state, federal and local level.

• Investigation of Assets
  We research assets and people involved in business transactions for valuation, collectability and leverage in negotiations.

• Real Estate Transactions
  We draft, review and negotiate the terms for commercial transactions including real estate purchases and leases.
